Payment Terms
Employee timesheets are to be completed and approved weekly and forwarded to us by 4:00pm on the following Monday. You will be invoiced weekly and payment is required within fourteen (14) days of invoice.
"The Client" must pay the Contractor Fee according to the number of hours or days as agreed worked by the Contractor for the Client. Invoices are produced weekly based on the actual hours or days worked by the Contractor as evidenced by an authorized timesheet.
We may vary the Contract Fee at any time without notice due to variations to any award or agreement applicable to the Contractor, or any statutory charges, levies, taxes or other payments we are lawfully required to make, or for any charges which we may become liable in respect of providing a Contractor under this agreement.
Our Obligations and Warranties
B-Series Contracting will comply with all legal requirements in relation to the Contractor where applicable. This will include the following:
- payment of remuneration
- deduction of all appropriate taxation required by the Australian Taxation Office
- workers' compensation payments
- superannuation guarantee charges
- payroll tax
Your Obligations, Warranties and Indemnities
- To provide direct supervision and management of the Contractor in the performance of each job for "The Client". "The Client" directly controls the conditions under which the assignment is performed, and the outcome of the Contractor's performance.
- To manage the contractor on a daily basis and advise us promptly if you have any concerns about the performance of the contractor.
- To take responsibility for the reimbursement of all expenses incurred by a Contractor in performing the assignment and to make all necessary arrangements with the Contractor for authorising and reimbursing expenses.
- "The Client" must not discuss the Contractor fee, or any change to the Contractor fee, with the Contractor. These are confidential matters between us and "The Client".
- "The Client" is responsible for ensuring the health and safety of the Contractor while the Contractor is providing services to "The Client", and must satisfy all its obligations in relation to the Contractor under applicable occupational health and safety and discrimination legislation, and accept full responsibility for these matters.
This includes, but is not limited to, the following:
- Providing all necessary induction and other training and issuing all required policies, procedures and directions.
- Immediately notifying us of any occupational health and safety risks or discrimination or harassment issues in connection with the provision of services by the Contractor.
- Requiring the Contractor to perform only those tasks that the Contractor is skilled and trained to perform.
- Immediately notifying us if there are any changes in the tasks that the Contractor is assigned to perform.
- The responsibility for protecting "The Client"'s confidential information and intellectual property lies solely with "The Client" and we are not liable for any claim arising from the Client's confidential information and intellectual property.
- "The Client" is responsible for ensuring that the Contractor is adequately covered by any insurance policy held by yourself in respect to your business.
- "The Client" acknowledge that we are not performing the services required of our employees or independent contractors but are instead the supplier of our employees and independent contractors, at your request, to perform work that is requested. From the time that our Contractor reports to you for their duties they are under the care, control and supervision of "The Client" for the duration of the assignment. In these circumstances, you agree we will not be liable to you in respect of any damage, loss or injury of whatsoever nature or kind, however caused, whether by our negligence or the negligence of one of our workers, their servants or agents or otherwise, which may be suffered or incurred, whether directly or indirectly, in respect of the services provided under these conditions of assignment.
- To indemnify us in relation to any claim against us arising out of your breach of the above obligations.
Termination
- "The Client" or we can terminate the assignment on giving one weeks' prior notice or paying the fee in lieu of notice.
- Termination may be immediate in the event of gross misconduct of the contractor.
Permanent Position
- If the Contractor accepts any permanent position with "The Client" during the term of this contract or extension of it, or within a period of 6 months of the end of such term or extension, you must:
- Tell us
- Tell us the total annual remuneration package provided to the employee
- Pay a recruitment fee based on total annual remuneration as follows:
- Up to $100,000 - 16% plus GST
- Over $100,000 - 20% plus GST
- "Total annual remuneration package" means the combination of salary, superannuation, company car (as valued by the client) together with any other benefits, commissions or bonuses.
- This fee is due and payable 14 days after the date of the invoice.
